These Terms of Use (the "Terms") govern your access to and use of the website  https://lxedge.in (the "Site") and any related services provided through the Site (collectively, the "Services").

The Site is operated by LX Edge Innovations Private Limited, having its office at Jyoti Pinnacle, 2nd Floor, Survey No. 11, Kondapur, Hyderabad – 500084, Telangana, India ("LX Edge", "we", "us", or "our").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or Services.

If you are using the Site or Services on behalf of an organisation (such as your employer), you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" and "your" will include that organisation.

  • Confirm you are using the Site for lawful business or professional use.

1. About LX Edge and our Services

LX Edge provides an integrated platform that enables organisations to:

  • Discover and book experiential learning spaces and training facilities.
  • Access curated learning programs and trainers.
  • Manage end-to-end logistics related to corporate learning and development events.

LX Edge typically acts as an intermediary between corporate clients and facility/training partners. The specific features available to you may vary based on your relationship with us (for example, whether you are a client, partner, trainer, or a website visitor).

We may update, modify, or discontinue any part of the Site or Services at any time, with or without notice, provided such changes do not materially and adversely affect any existing contractual commitments we have with you or your organisation.


2. Eligibility and business use

The Site and Services are intended primarily for business and professional use.

By using the Site or Services, you confirm that:

  • You are at least 18 years old; and
  • You are using the Site and Services for legitimate business or professional purposes and in compliance with applicable laws.

3. Acceptance of Terms

By accessing or using the Site, creating an account, submitting any information through contact forms, or otherwise interacting with the Services, you:

  • Agree to these Terms; and
  • Agree to any additional terms and policies referenced here, including ourPrivacy Policy andRefund & Returns Policy, which explain how we handle your information and how cancellations/refunds are managed.

If you do not agree, you must stop using the Site and Services immediately.


4. Account registration and security

Certain features of the Services may require you to create an account or be onboarded by your organisation. You agree that:

  1. All information you provide will be accurate, current, and complete.
  2. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  3. You will promptly notify us at info@lxedge.in if you suspect any unauthorised access or use of your account.

We reserve the right to suspend or terminate your access if we reasonably believe that:

  • Any information you provided is inaccurate, misleading, or incomplete; or
  • Your account is being used in violation of these Terms or applicable laws.

5. Use of the Site and Services

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site and Services for your internal business purposes.

You agree not to:

  • Use the Site or Services for any unlawful, fraudulent, or malicious activity.
  • Interfere with or disrupt the operation of the Site or Services.
  • Attempt to gain unauthorised access to any systems, networks, or data.
  • Reverse engineer, decompile, copy, or attempt to derive the source code of any software used to provide the Services, except where explicitly allowed by law.
  • Use any automated means (such as bots, crawlers, or scrapers) to access the Site, except as explicitly permitted by us.
  • Circumvent any security or access control measures used to protect the Site or Services.

We reserve the right to monitor your use of the Site and Services to ensure compliance with these Terms.


6. Booking, programs, pricing, and payments

Where the Site allows you to express interest in, request, or book:

  • Training facilities or learning spaces;
  • Trainers, facilitators, or programs; or
  • Other related services (such as catering, AV setup, stationery, etc.),

the following apply:

  1. Proposals and confirmations

    • Information on the Site about spaces, trainers, packages, or pricing is indicative and may be subject to change.
    • A booking is considered confirmed only when expressly accepted by us (and/or the relevant partner) in writing, which may be via email, contract, or other written communication.
  2. Pricing, currency, and taxes

    • Unless expressly stated otherwise, prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (such as GST).
    • Applicable taxes, fees, and statutory levies will be added to the final invoice as required by law.
  3. Payments and payment gateway

    • We may use third-party payment gateways such as Razorpay to process payments on our behalf.
    • By initiating a payment, you authorise us and our payment gateway provider to process the transaction using the payment method you select.
    • We accept Indian and international debit and credit cards (including, where supported, Visa, Mastercard, American Express and other card networks), net-banking, UPI, and such other payment methods as may be enabled by the payment gateway from time to time.
    • Your use of a payment method may also be subject to the terms and privacy policy of the issuing bank, card network and the payment gateway provider.
    • Payment gateway or bank charges (including currency conversion charges for international cards) may be non-refundable even where we issue a refund of our own service fees.
  4. Refunds and cancellations

    • Refunds, rescheduling and cancellations are governed by our Refunds & Cancellations Policy, as updated from time to time and made available on the Site.
    • In the event of any conflict between that policy and a signed written agreement between LX Edge and your organisation, the signed agreement will prevail for the relevant subject matter.
  5. Separate agreements

    • In many cases, detailed commercial terms (including pricing, cancellation policies, payment terms, SLAs, and responsibilities) will be captured in a separate written agreement between LX Edge and your organisation (for example, a proposal, work order or master services agreement).
    • In the event of any conflict between these Terms and a signed written agreement, the written agreement will prevail for the affected subject matter.
  6. Partner terms

    • Certain aspects of your experience (e.g. venue operations, catering, or trainer content) may be governed by the terms of the relevant partner or service provider. Where applicable, you agree to comply with such partner terms, which may be communicated to you by us or the partner.

7. Intellectual property

All content on the Site and Services, including but not limited to text, graphics, logos, images, icons, audio clips, video clips, software, and other materials (collectively, the "LX Edge Content"), as well as the design, structure, and overall look and feel of the Site, is the property of LX Edge or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

Subject to these Terms, we grant you a limited licence to view and use the LX Edge Content solely for your internal business purposes and non-commercial evaluation of our Services.

You must not:

  • Copy, reproduce, modify, adapt, or create derivative works from any LX Edge Content;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices;
  • Use any LX Edge trademarks, logos, or branding without our prior written consent.

8. User content

You may have the ability to submit, upload, or provide information or materials to us or through the Site, such as:

  • Booking details, requirements, and special requests;
  • Participant lists, feedback, surveys, or testimonials;
  • Reviews or comments;
  • Training-related materials you are authorised to share (collectively, "User Content").

By providing User Content, you represent and warrant that:

  1. You have the necessary rights and permissions to share the User Content;
  2. The User Content does not infringe any third-party rights (including intellectual property, privacy, or confidentiality rights); and
  3. The User Content is accurate and lawful.

You grant LX Edge a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, modify, and process your User Content solely for the purpose of providing and improving the Services, fulfilling your requests, and operating our business (for example, using anonymised feedback to improve facilities or trainers).

We do not claim ownership of your User Content. However, we may remove or restrict access to User Content that we reasonably believe violates these Terms or applicable laws.


9. Prohibited activities

In addition to any other prohibitions in these Terms, you agree that you will not:

  • Use the Site or Services to transmit or upload any content that is unlawful, harmful, defamatory, harassing, obscene, or otherwise objectionable;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Introduce viruses, malware, or other harmful code;
  • Attempt to test the vulnerability of our systems or breach any security measures;
  • Use the Site or Services to send unsolicited marketing or spam.

10. Third-party sites and services

The Site may contain links to third-party websites, services, or resources (for example, maps, payment gateways, partners' sites, or social media platforms).

We do not control and are not responsible for:

  • The content, accuracy, or practices of such third parties; or
  • Any loss or damage that may arise from your use of them.

Your use of third-party services is subject to the terms and policies of those third parties. We encourage you to review those terms and policies before interacting with them.


11. Privacy and data protection

Your use of the Site and Services is also governed by ourPrivacy Policy, which describes how we collect, use, and protect your personal information.

By using the Site and Services, you acknowledge that you have read and understood our Privacy Policy.


12. Confidentiality

In the course of using our Services, you and we may exchange confidential information, such as business plans, pricing, participant lists, or internal processes.

Each party agrees to:

  • Use the other party's confidential information only for the purpose of the business relationship; and
  • Take reasonable steps to protect such information from unauthorised access or disclosure.

This obligation does not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party;
  • Was lawfully known to the receiving party before disclosure;
  • Is independently developed by the receiving party without reference to the other party's information; or
  • Must be disclosed to comply with law or a valid court or regulatory order (in which case, where lawful, reasonable notice will be given).

13. Disclaimers

To the maximum extent permitted by law:

  1. The Site and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
  2. We do not warrant that:
    • The Site or Services will be uninterrupted, secure, or error-free;
    • Any particular outcome, learning impact, or business result will be achieved;
    • The information on the Site is complete, accurate, or up to date, although we strive to keep it reasonably accurate.

We expressly disclaim all implied warranties, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

Your use of the Site and Services is at your own discretion and risk.


14. Limitation of liability

To the maximum extent permitted by applicable law, in no event will LX Edge, its directors, employees, or affiliates be liable for:

  • Any indirect, incidental, consequential, special, exemplary, or punitive damages;
  • Any loss of profits, revenue, business, or data;
  • Any loss arising from delays, cancellations, or changes to events caused by third parties (such as venue partners, trainers, or unforeseeable events);

arising out of or in connection with your use of (or inability to use) the Site or Services, even if we have been advised of the possibility of such damages.

To the extent we are found liable to you for any claim arising out of or relating to the Site or Services, our total aggregate liability shall be limited, to the extent permitted by law, to:

  • The amount paid (if any) by your organisation to LX Edge directly in connection with the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to such liability; or
  • If no such payments were made, INR 10,000.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.


15. Indemnity

You agree to indemnify and hold harmless LX Edge, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
  • Your use of the Site or Services in violation of applicable laws; or
  • Any User Content or information you provide that infringes or violates any third-party rights.

If you are using the Site or Services on behalf of an organisation, that organisation agrees to this indemnity as well.


16. Suspension and termination

We may suspend or terminate your access to the Site or Services, in whole or in part, if:

  • You materially breach these Terms;
  • We reasonably suspect fraudulent or unlawful activity; or
  • It is required by law or by a competent authority.

Where feasible, we will provide you with notice before such suspension or termination.

You may stop using the Site or Services at any time. Termination of your access does not affect any obligations or rights that have already accrued to either party, including payment obligations or limitations of liability.


17. Changes to these Terms

We may update these Terms from time to time, for example to reflect:

  • Changes to our Services or business;
  • Changes in applicable laws or regulatory requirements; or
  • Improvements in clarity or structure.

When we make material changes, we will:

  • Update the "Last updated" date at the top of these Terms; and
  • Take reasonable steps to notify you, such as by posting a notice on the Site or, where appropriate, sending an email.

Your continued use of the Site or Services after the updated Terms are posted will constitute your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site and Services.


18. Governing law and jurisdiction

These Terms are governed by and will be construed in accordance with the laws of India, without giving effect to any principles of conflicts of law.

Subject to any separate written agreement with your organisation that provides for arbitration, you agree that the courts located in Hyderabad, Telangana, India will have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, the Site, or the Services.


19. Miscellaneous

  • Entire agreement: These Terms, together with any separate written agreement we may have with your organisation, our Privacy Policy, and our Refund & Returns Policy, constitute the entire agreement between you and us regarding your use of the Site and Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of the business.
